1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “Client”) and Decorative Architectural Shapes (“we,” “us,” or “our”) governing your access to and use of our website, decorativearchitecturalshapes.com (the “Site”), and the products and services we offer.

By accessing, browsing, or using this Site, or by placing an order with us, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use this Site or our services.

2. Description of Services

Decorative Architectural Shapes specializes in the custom design, engineering, and fabrication of architectural elements, including but not limited to columns, trims, moldings, signage, and other decorative shapes, primarily using engineered foam and protective coatings (“Products”). Our Site serves as a platform to provide information about our Products, request quotes, and facilitate the ordering process.

3. Quotes, Orders, and Payment

• Quotes: All quotes provided by us are based on the specifications, drawings, and information you provide. Quotes are estimates and are valid for a period of thirty (30) days unless otherwise stated. Prices are subject to change based on final approved designs and material costs.

• Order Placement: An order is considered confirmed only after you have provided written approval of the final design drawings and/or 3D models and have submitted the required initial payment.

• Payment: Our standard payment term for custom fabrication is fifty percent (50%) of the total order value upon confirmation, with the remaining fifty percent (50%) due prior to shipping. We reserve the right to adjust these terms based on project scope and client history. All payments are to be made in U.S. Dollars.

• Changes to Orders: We pride ourselves on flexibility. Changes to an order may be possible prior to the application of the final hard coat. However, any changes requested after production has commenced may result in additional costs and delays, which will be communicated to you for approval.

4. Intellectual Property Rights

• Our Content: All content on this Site, including text, graphics, logos, images, and software, is the property of Decorative Architectural Shapes and is protected by United States and international copyright, trademark, and other intellectual property laws.

• Your Content and Designs: You retain ownership of any original designs, drawings, CAD files, or other intellectual property you submit to us. By submitting your content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and modify your content for the sole purpose of fabricating your Products.

• Your Representation: You represent and warrant that you own or have the necessary rights, licenses, and permissions to submit your designs and that your content does not infringe upon the intellectual property rights of any third party.

5. Production and Lead Times

All lead times provided are good-faith estimates and begin from the date of order confirmation (final design approval and receipt of initial payment). While we make every effort to meet these timelines, we are not liable for delays caused by circumstances beyond our reasonable control, including but not limited to supply chain disruptions, changes to the order, or delays in receiving client approvals.

6. Shipping, Delivery, and Risk of Loss

• Shipping: We ship our Products nationwide across the United States. Shipping costs are calculated and included in your final quote.

• Risk of Loss: All Products are shipped FOB (Free on Board) from our facility in Jacksonville, Florida. This means that the risk of loss or damage to the Products passes to you once we deliver them to the designated carrier. We are not responsible for damage incurred during transit. We recommend you inspect all shipments upon arrival and file any claims for damage directly with the carrier.

7. Installation

Decorative Architectural Shapes is a manufacturer and does not provide installation services. Our role is limited to providing technical guidance, documentation, and support to assist your qualified installation professionals. You are solely responsible for ensuring that the installation of our Products is performed by licensed and insured contractors in accordance with local building codes, regulations, and industry best practices. We are not liable for any damages, defects, or issues arising from improper installation.

8. Cancellations, Returns, and Refunds

Due to the custom nature of our Products, all orders are final once production has commenced. We cannot accept cancellations, returns, or offer refunds for Products that are fabricated to your unique specifications. If you receive a Product with a manufacturing defect, please contact us within seven (7) days of receipt to discuss a resolution.

9. Disclaimer of Warranties

THE SITE, ITS CONTENT, AND THE PRODUCTS AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY FLORIDA LAW, IN NO EVENT SHALL DECORATIVE ARCHITECTURAL SHAPES, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE OR SERVICES; (II) ANY DEFECTS OR ISSUES ARISING FROM IMPROPER INSTALLATION OF OUR PRODUCTS; OR (III) ANY OTHER MATTER RELATING TO THE PRODUCTS OR SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCTS GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Decorative Architectural Shapes and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Site and Services; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right, related to the designs you submit to us.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Duval County, Florida, and you hereby consent to the personal jurisdiction of such courts.

13. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will post the updated Terms on the Site and indicate the date of the latest revision. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.
